1. Introduction This Agreement is a legal document which sets out your rights and obligations, and those of Asian Circuit LLP ("Asian Circuit", "we" or "us"), a company registered in England under registration no. OC314050, in relation to this site and the services offered by Asian Circuit through it. This legal notice applies to the entire contents of this website and the services offered by Asian Circuit under the domain www.AsianCircuit.com and www.AsianCircuit.co.uk ("Website" or “AsianCircuit.com”) and to any correspondence by e-mail between us and you. You must take the time to read and understand it before registering for AsianCircuit.com. By registering, you accept that you are entering into a contract with us on the terms of this Agreement. Visitors to AsianCircuit.com who do not register to become a Member (see 2 below) similarly affirm that they are bound by this Agreement each time they access AsianCircuit.com. You should be aware that this Agreement may change from time to time in accordance with Clause 23 below. Also, please note that if we remove any of our Core Services (these are indicated in Clause 2 below) Full Members may be entitled to a refund of part of their Full Membership fee (see Clause 11(ii) for details); but we may remove all or any of the non-Core Services – such as message boards – from AsianCircuit.com, either on a temporary or permanent basis, without making any refund.

Important: You must ensure that the email address we hold for you is kept up-to-date and that you have full access to it – we will be sending you important messages there. If you change email address, then you must inform us of the new address through your “ My Account/Login” page

2. Eligibility & Types of membership You must be 18 (eighteen) or over to register as a member of AsianCircuit.com or to use the Website. Membership of the Service is invalid where it has been prohibited. By using the Website, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement. The Membership divides between those who decide to pay the fee we charge to become what we call a "Full Member", and those who do not ("Standard Members").

Standard Members:

• may post their name, interests, profile notes and photos in any of the circuits for Date, Love, Social, Career and Student which appear on AsianCircuit.com – this is a Core Service;
• may receive emailed messages, which will be sent to the email address contained in Members' “ My Account/Login” page, notifying them of contacts sent by Full Members which can be viewed in their mailbox on the site – this is a Core Service;
• will receive certain types of messages sent in order for us to deliver AsianCircuit.com optimally. These are outlined in the privacy policy; and
• will receive any other emails they opt to receive during the Registration process (as added to, or de-selected, subsequently).

Full Members may:

• send email messages to both Full and Standard Members – this is a Core Service; and
• post to any message boards which may be available on AsianCircuit.com.

Scope of Service The Service enables you to contact other members. AsianCircuit.com is not a marriage brokering service and is not obligated to successfully broker any other members for you.

Note that we are not an internet service provider. In order to avail of AsianCircuit.com, you must have internet access and all the software (and skills) required for email and web usage.

3. Important Note: Full Membership. If you decide to become a Full Member, and therefore pay our Full Membership fee, you are agreeing to take the Full Membership we make available to you promptly after that fee is paid. This means that you do not have the right to cancel your Full Membership during the cooling-off period which is provided for certain purchases under the Consumer Protection (Distance Selling) Regulations 2000.

Full Membership can be purchased either six monthly or yearly. If you have a Full Membership, this will automatically be renewed to continue benefiting from Full Membership. We will notify holders of continuous Full Memberships 28 days prior to your renewal date (and if the Full Membership fee is going to increase). Unless you notify us by email that you do not wish to automatically renew your membership, the renewal subscription will be taken from your registered card details.

Please note that we reserve the right to change the amount of the fee for Full Membership, the period which it covers and the non-Core Services which it enables you to obtain from time to time, but we will give you reasonable notice of this before we do so.

YOU MUST PROMPTLY NOTIFY ASIANCIRCUIT.COM IF YOU BECOME AWARE OF A POTENTIAL BREACH OF SECURITY, SUCH AS THE UNAUTHORISED DISCLOSURE OR USE OF YOUR USERNAME, PASSWORD OR PAYMENT DETAILS. IF YOU FAIL TO PROVIDE ASIANCIRCUIT.COM ANY OF THE FOREGOING INFORMATION, YOU AGREE THAT ASIANCIRCUIT.COM MAY CONTINUE CHARGING YOU FOR ANY USE OF THE SERVICE UNDER YOUR BILLING ACCOUNT UNLESS YOU HAVE TERMINATED YOUR SUBSCRIPTION FOR THE SERVICE (CONFIRMED IN WRITING UPON REQUEST BY ASIANCIRCUIT.COM).

4. Registration You undertake to register for AsianCircuit.com using accurate and current information about yourself - including your correct name, address and any other requested details. If you are asked for, and provide, details of a credit, debit or charge card, you must ensure that (a) you are fully entitled to use that card, and (b) it has available funds sufficient to cover the charges which are deducted from it. As part of the registration process for AsianCircuit.com, you will receive a verification email, the purpose of which is to take reasonable steps to ensure that the email address you have nominated during registration is controlled by you. That email contains simple instructions which you must follow.

5. Privacy Policy Asian Circuit's Privacy Policy forms part of this Agreement, and by agreeing to this Agreement, you also give your consent to the way we may handle your personal data as detailed in that policy. Given the global nature of the World Wide Web, any posting on AsianCircuit.com (including any which contain personal information) is, of course, accessible to internet users around the world.

6. Asian Circuit's Role You, whether you are a Member or a non-Member, acknowledge that we are not and cannot be responsible for the behaviour of Members - whether on AsianCircuit.com or outside of it. We only provide a method by which AsianCircuit.com may be accessed. In particular, you should be aware that Asian Circuit will endeavor to pre-screen new profiles before they are posted on the website, however, AsianCircuit.com will not be liable for any material contributed by Members.

7. Additional services Asian Circuit or its affiliates may offer new or additional services through AsianCircuit.com from time to time. Your use of those services may be subject to additional terms and conditions, or rules of use, which you must comply with. Any failure by you to comply with a material provision of the terms or rules governing such additional services will amount to a breach of this Agreement and enable us to terminate this Agreement with you.

8. Operation of Asian Circuit Services Asian Circuit reserves the right to withdraw or modify aspects of AsianCircuit.com, or the entirety of it, where we have legal or commercial reasons to do so. There may also be times when AsianCircuit.com becomes inaccessible as a result of technical difficulties experienced by Asian Circuit or on the Internet; we will, however, use reasonable skill and care to overcome these difficulties where they are within our control. Please note that there will be no refund of Full Membership fees (nor will we have any other liability to you) for withdrawal, modification or unavailability of AsianCircuit.com, except as provided in Clause 11(ii) below. For security or other reasons, we may require you to change password or other information which facilitates access to AsianCircuit.com.

9. Misuse of Asian Circuit Service We reserve the right (a) to suspend or terminate any Member's access to AsianCircuit.com, or parts of it, and/or (b) to remove, or require the Member to remove, material posted on AsianCircuit.com, and/or (c) prevent publication of all or part of your profile if the relevant Member or material appears to us, or to a complainant, to be in breach of any provision of this Agreement. Any person whose access has been suspended or terminated must not re-register for, or re-access, AsianCircuit.com without our prior consent. You are responsible for everything which is done on or through AsianCircuit.com while your Membership account is logged on to AsianCircuit.com, or through your email address(es). In addition, we reserve the right to suspend or terminate any Member's access to AsianCircuit.com, or parts of it, if the relevant Member is abusive, discriminatory or threatening, or harasses or communicates offensive messages or images to another Member, whether or not through AsianCircuit.com. For completeness, where we reserve a right in this Agreement, it does not mean we will be obliged to exercise it. Also, given the open-access nature of AsianCircuit.com, we cannot prevent determined people whose Membership has been suspended or terminated from re-accessing or re-registering as Members, in breach of their obligations under this Agreement.

The following is a partial list of the kind of Content that is illegal or prohibited on the Website. AsianCircuit.com reserves the right to amend this list at any times and to investigate and take appropriate legal action in its sole discretion against anyone who violates this provision, including without limitation, removing the offending communication from the Service and terminating the membership of such violators. It includes Content that:

• is patently offensive to the online community, such as Content that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
• constitutes a profile or photographs of any third person used without their permission.
• harasses or advocates harassment of another person;
• involves the transmission of "junk mail", "chain letters," or unsolicited mass mailing or "spamming";
• promotes information that you know is false, misleading or promotes illegal activities or promotes conduct, or that is abusive, threatening, obscene, defamatory or libelous;
• promotes an illegal or unauthorised copy of another person’s copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;
• contains restricted or password only access pages, or hidden pages or images (those not linked to or from another accessible page);
• provides material that exploits people under the age of 18 in a sexual or violent manner, or solicits personal information from anyone under 18;
• provides instructional information about illegal activities such as making or buying illegal weapons, violating someone’s privacy, or providing or creating computer viruses;
• solicits passwords or personal identifying information for commercial or unlawful purposes from other users; and
• engages in commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, and pyramid schemes.

You must use the Service in a manner consistent with any and all applicable laws, regulations and codes of conduct.

Prohibited Activities AsianCircuit.com reserves the right to investigate and terminate your membership if you have misused the Service, or behaved in a way which could be regarded as inappropriate or whose conduct is unlawful or illegal. The following is a partial list of the type of actions that you may not engage in with respect to the Service:

• You will not impersonate any person or entity.
• You will not "stalk" or otherwise harass any person.
• You will not express or imply that any statements you make are endorsed by AsianCircuit.com without our specific prior written consent.
• You will not post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
• You will not "frame" or "mirror" any part of the Service or the Website, without AsianCircuit.com’s prior written authorisation. You also shall not use meta tags or code or other devices containing any reference to AsianCircuit.com or the Service or the site in order to direct any person to any other web site for any purpose.
• You will not transmit or post any material which constitutes or encourages conduct that would be considered a criminal offence, give rise to civil liability, or otherwise be contrary to the law of or infringe the rights of any third party in the UK or any other country in the world.

10. Relevance AsianCircuit.com is intended to be used by its Members for the purposes referred to in Clause 2 above. Accordingly, Members must not:

• include an email address, postal address, phone number, the address of any website, or any other information which is intended to facilitate direct communication, in material which is posted on AsianCircuit.com - Full Members, and the recipients of their emails, can share this information, should they wish, once direct contact has been made;
• place material on, or otherwise use, AsianCircuit.com for any business or commercial purpose; or
• use your access to AsianCircuit.com, or information gathered from it, for the sending of unsolicited bulk email (sometimes known as spam).

11. Fees
(i) You acknowledge that we are entitled to alter the amount or the basis of the calculation of our fees from time to time, provided that such amount or basis is clearly stated at the time when you agree to take the relevant Asian Circuit Service or prior to any fees being taken.

(ii) Fees paid by a Full Member will not be rebated or refunded by Asian Circuit, except as follows. If, under Clause 8 above, we entirely withdraw a Core Service (specified in Clause 2), or the entirety of AsianCircuit.com itself, then you may be entitled to a rebate of your Full Membership fee for the remainder of the twelve month period to which that fee relates; less any reasonable costs incurred by us. No rebate of any part of the Full Membership fee will be payable under any circumstances, other than as provided in this Clause 11(ii).

AsianCircuit.com may deactivate the accounts of members who have not used the Service for a period of six months or more (as calculated by the date of last connection to the Service) unless you are a paying subscriber.

We may offer new or ancillary services from time to time which require the payment of fees - either to us or a nominated third party - on terms which will be provided to you at the time.

12. Prohibitions You are responsible for ensuring that no material you post, or which is posted through a machine on which you access AsianCircuit.com, nor any activity or communication you make in connection with any Asian Circuit Service, will be capable of (a) infringing the intellectual property or other rights of any person or entity, (b) breaching any applicable law, whether criminal or otherwise, or (c) appearing to be offensive, threatening, abusive, discriminatory, obscene, pornographic, false, libelous, defamatory, unreliable or misleading.

13. Alerting Asian Circuit If you see anything on AsianCircuit.com which appears to infringe this Agreement, then please contact us to inform us of it by emailing us here . We do not generally monitor material contributed by Members before it is placed on AsianCircuit.com, and so we are reliant upon users to point out any which infringes this Agreement.

14. Withdrawal of Material and Termination of Membership Each Member acknowledges that we are entitled to withdraw any material on AsianCircuit.com which appears, whether based on information received from Members or others or our own determination, to be capable of breaching any part of this Agreement, or to bring AsianCircuit.com into disrepute. However, each user acknowledges that we do not generally monitor material which appears on AsianCircuit.com, and that we are reliant upon you and all users to notify us of anything you see here which appears likely to breach this Agreement, using the notification techniques which are made available on AsianCircuit.com.

15. Disclaimer and Release Asian Circuit has no control over or responsibility for the truth or accuracy of any material available on AsianCircuit.com, whether provided by Members or others.

• If any third party sites are linked to from AsianCircuit.com, this does not mean that we endorse or have any responsibility for the site in question or anything which appears on it.
• You should exercise no lesser degree of caution in appraising what you see on AsianCircuit.com than you do offline.
• Even though Members are prohibited from doing so, people may provide information, or otherwise behave, in a way that is unreliable, misleading or even illegal. Further, you should note that people may not necessarily be who they say they are.
• Your use of AsianCircuit.com is entirely at your own risk.

Accordingly, to the extent that the law permits, you release Asian Circuit its directors, contractors and employees from all liability (including in relation to disputes with other Members) arising out of your use of a third party site or arising out of or in connection with AsianCircuit.com and the material included here by Members and other third parties.

• Account Security You are responsible for maintaining the confidentiality of the username and password that you designate during the registration process with the Service, and you are fully responsible for all activities that occur under your username and password. You agree to (a) immediately notify AsianCircuit.com of any unauthorised use of your username or password or any other breach of security, and (b) ensure that you exit from your account at the end of each session. AsianCircuit.com will not be liable for any loss or damage arising from your failure to comply with this provision. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

16. Intellectual Property You acknowledge that all copyright, trade marks, and other intellectual property rights in and relating to AsianCircuit.com (including the material which is contributed by Members) are owned by Asian Circuit. It is easy to copy material which appears on web-sites, but this does not mean it is legal. Therefore, no-one may copy, distribute, show in public or create any derivative work from AsianCircuit.com, or any of the material which is found on AsianCircuit.com unless properly licensed to do so by us.

By submitting any material to the content to AsianCircuit.com, you:

• are representing that you are fully entitled to do so;
• grant us a non-exclusive, royalty-free, non-terminable licence to copy, modify, distribute, show in public and create derivative works from that material in any form, anywhere; and
• authorise us to adapt the relevant material in the course of doing so, and so waive your moral rights to object to any derogatory treatment, or to be identified as the author, of the material in question.

17. Excluded loss We will not be liable to you or any third party for any loss not reasonably foreseeable by us when this Agreement commences, for any indirect or consequential loss or damage, or for any loss of data, profit, revenue or business, howsoever caused (whether arising out of any negligence or breach of this Agreement or otherwise). Asian Circuit will also not be liable for any failure to perform of its obligations under this Agreement caused by matters beyond its reasonable control.

18. Maximum liability Without limiting the preceding Clause, the aggregate liability of Asian Circuit under this Agreement (whether arising in negligence or otherwise) will not under any circumstances exceed an amount equal to (a) the Full Membership fee payable at the time liability arises, or (if greater) (b) the sums paid by you to us under this Agreement during the twelve month period prior to the date when liability arises.

19. Non-excluded Liabilities Nothing in this Agreement limits Asian Circuit's liability for death or personal injury resulting from our negligence, or any other liability which may not by law be excluded. Any statutory rights you may have as a consumer remain unaffected.

20. Indemnity You agree to indemnify us against all liabilities, claims and expenses that may arise from any breach of this Agreement by you or through a machine on which you access AsianCircuit.com.

21. Assignment We reserve the right to assign this Agreement, and to assign or subcontract any or all of our rights and obligations under this Agreement. You may not without the written consent of Asian Circuit assign or dispose of this Agreement.

22. Entire Agreement This Agreement includes our privacy policy . Together they contain the whole of the agreement between us and you concerning AsianCircuit.com and they replace all earlier agreements and understandings with you, except for any fraud or fraudulent representation by either of us. A person who is not a party to this Agreement has no right under the Contracts (Rights of Third Parties) Act 1999 to rely upon or enforce any term of this Agreement.

23. Changes to this Agreement Asian Circuit reserves the right to change the Agreement with its Members from time to time, and post the new version on AsianCircuit.com. When we do so, we notify Members of the fact that there are changed terms on the main screen (www.asiancircuit.com), and post the new Agreement there. This Agreement, and any new version of it in the future, takes effect immediately. However, if you do not wish to be bound by the changes we make in this Agreement (or any new version of it), then you can choose instead to remain bound by the previous Terms and Conditions until:

• your next renewal date, if you are a Full Member; or
• one month after the date when we post the new version, if you are a Standard Member.

24. Severability In the event that any term of this Agreement is held to be invalid or unenforceable by judicial decree or decision, the remainder of this Agreement shall remain valid and enforceable.

25. Law This Agreement shall be governed by and construed in accordance with the laws of England and Wales .

26. Keeping this Agreement We don't separately file the individual Agreements entered into by members when they register for AsianCircuit.com. You can access it at www.asiancircuit.com . Please make a durable copy of this Agreement by printing and/or saving a downloaded copy on your own computer.

27. Customer Service AsianCircuit.com provides assistance and guidance through its customer service. When communicating with our customer care representatives, you may not to be abusive, obscene, profane, offensive, sexist, threatening, harassing or racially offensive. If we feel that your behaviour towards any of our customer care representatives or other employees is at any time threatening or offensive, we reserve the right to immediately terminate your membership and you will not be entitled to any refund of unused subscription fees.

The Events section of AsianCircuit.com may contain links to other websites operated by third parties over whom we have no control. Such links are provided for your convenience only and AsianCircuit LLP accepts no responsibility or liability in respect of the content or use of other websites.

The information has been supplied by the promoter for the event. Therefore, AsianCircuit does not take responsibility for any false information or mistakes contained on this site by third parties. If Asian Circuit deem the event to be in conflict with our policy on prohibited activities as per the Terms and Conditions, we reserve the right to decline posting the event on asiancircuit.com. We also reserve the right to remove an existing event if we find that the event is in breach of the prohibited activities as per the Terms and Conditions.

Asian Circuit reserves the right to validate charity events before posting on the website.

Use of this site constitutes your acceptance of these terms and conditions. AsianCircuit LLP ('AsianCircuit’) reserves the right to make changes to this site and these terms and conditions at any time.

On-Line Directory - Terms and conditions

1. The directory listings are valid for one calendar year from the date of posting on asiancircuit.com
2. The full fee must be paid before a listing is posted on asiancircuit.com
3. All listings will be validated before posting. Any decisions relating to the content are the sole reserve of Asian Circuit LLP.

Monthly Prize Draw - Terms and conditions

1. This promotion only applies to full paid members.
2. There is no limit to the number of prizes won in the monthly prize draw by any individual full paid member.
3. The draw will be held on the 1st of every month and the winner will be contacted via the members registered email address within 5 days of the draw. The winner will need to provide their full postal address so we can send out the prize. Failure to respond within 14 days will result in the cancellation of the prize.
4. Asian Circuit are not responsible for delays or loss, due to the postal service.
5. Prizes stated cannot be changed, upgraded or extended.
6. We cannot offer a cash alternative.
7. For cinema tickets, the cinemas' standard terms and conditions of purchase and entry apply.
8. You can not use this promotion in conjunction with any other offer.
9. Any decisions relating to the promotion are the sole reserve of Asian Circuit LLP, Asian Circuit LLP reserves the right to amend, extend or terminate this promotion without notice.
